Senior Legal Consultant – Shareholder Affairs, International Governance
Job Description:
- Advise on shareholder matters including loans, guarantees, securities, restructures, disputes and exits
- Provide strategic guidance on corporate governance and risk across multiple entities
- Coordinate and manage international legal advisors and cross-border legal strategy
- Draft and negotiate high-level legal documentation, including shareholder agreements, corporate resolutions and commercial contracts
- Support litigation preparation and dispute strategy where required
- Deliver clear, practical legal advice aligned with commercial outcomes.
Requirements:
- Admitted Attorney (SA or equivalent common-law jurisdiction)
- 8-10+ years post-articles experience
- Strong corporate and commercial law background with deep shareholder governance exposure
- Proven experience working across international jurisdictions
- Confident operating independently at senior level and advising executives/shareholders
- High discretion, sound judgment and strong commercial mindset.
- Advantageous experience in commercial property or property development exposure.
- Russian language skills.
- Experience working in or with Russian jurisdictions.
